All Artists will retain all copyrights.

You, the "Artist" (the artist, songwriter or delegated representative named below) must be the copyright owner of the "work(s)", (both of the musical composition and the master recording" submitted and selected for inclusion in “Raise Your Mic”. Reproduction or use of the "work(s)" without permission to reproduce is defamatory and may violate or infringe copyrights of Raise Your Mic and partners within the USA.  

You, the "Artist", agree to accept full responsibility for all matters relating to obtaining permission for reproduction of the "work(s)", in accordance with these terms and conditions, and any disputes which may arise as a result of your failure to do so.  

You, the "Artist" grant "Raise Your Mic" a non-exclusive license to use the selected "work(s)" named below, and imaging of participant in accordance with the terms and conditions of this agreement, for use within this time frame: 1st Round January 2025 - March 2025, 2nd Round April 2025 - June 2025, 3rd Round winner selections June 2025 - July 2025.

“Raise Your Mic”, “THSA Records”, "HP Visual Connections/Entertainment” has the rights to affix the trademarks and/or logos and other trademarks on or to the licensed product and on packaging, advertising and promotional materials used or distributed in connection with "Raise Your Mic”.

You, the "Artist" authorize "THSA Records" to reproduce the selected "work(s)" in conjunction with “Raise Your Mic” named above, and to distribute the single to independent music industry executives, artists and members of the public for promotional purposes only.  

You, the "Artist" agree that "Raise Your Mic" will pay no royalty fee of any kind (mechanical, synchronization or performance) for the "work(s)" manufactured containing the musical composition and master recording. The "Artist" understands and agrees that they will not be entitled to any fee in royalties by having their "work(s)" reproduced on the said single.  

You, the "Artist" will retain all copyrights in the musical composition and the master recording. All communication for any future acquisition or use of the "work(s)" will be made directly to the "Artist" by any third party as a result of the promotion of the "work(s)" on the "single". This agreement is a non-exclusive license to use the "work(s)". This means you are in no way restricted in your use of the "work(s)" for the period of this agreement, and you are able to license the "work(s)" to other recording artists and/or record companies.  

You, the "Artist" agree to take responsibility for any payments to musicians used to create your "work(s)" You, the "Artist" agree that "Raise Your Mic" can post the "work(s)" as an MP3 on our website, EPK, Facebook, iTunes, Soundcloud, and/or all digital outlets made available through MTR Sounds Music Distribution as a means of further promoting your “single", free of royalty or charge.  

You, the "Artist" hereby warrant and represent that you own or control all rights licensed and granted to "Raise Your Mic"; hereunder; that the composition, of one single and 1-year of artist development with partners in USA, do not violate or infringe common law or statutory rights of others; that "Raise Your Mic" will not be obligated to make any payments or incur any liability relating to our use of the "work(s)"; that you, the "Artist", have the full right and authority to enter into this agreement & to grant & license “Raise Your Mic” all rights as herein provided; and that you will fully indemnify and hold “Raise Your Mic” harmless against any loss incurred or payment made, including solicitors (attorneys) fees, by reason of anything to the contrary and to any of the foregoing. The parties to this agreement are independent of each other and do not intend to create a partnership or joint venture. Each "Artist" shall be responsible for their own debts and expenses.  

"Raise Your Mic" and its affiliates reserves the right to exclude the "work(s)" from the participant on the grounds of:

a) The track(s) not meeting our specifications of quality for broadcast or marketing,

b) Failure by the "Artist" to provide all contact & other information required as per “Our Confirmed Artist Information Form"

c) Failure by the participant to adhere to the guidelines & regulations established as protocol for “Raise Your Mic”  

You, the "Artist" are responsible for ensuring the quality of the audio file submitted for the 2nd Round of “Raise Your Mic” is not impaired. "Raise Your Mic" will not be held responsible for any audio file, which may be impaired on download. All audio tracks supplied must be professionally mixed and mastered, no longer than 4:00 min. "Raise Your Mic" will accept the following audio formats: MP3 Format clearly labeled.  

“Raise Your Mic” is a co-operative project that aims to showcase the finest emerging talent as per our selection, to the music industry. It is the intention of “Raise Your Mic” to represent all selected participants, artists & songwriters equally and fairly. "Raise Your Mic" does not guarantee that artists or songwriters, who are chosen for representation will receive music publishing, record or synchronization contract, radio airplay, management contracts or other guaranteed career opportunities because of their involvement in this project.
